Version v3. These Terms of Use ("Terms") govern your access to and use of the free BetterReviews review-analysis tools — including the review-to-ad creatives tool and the customer-persona generator — and related pages (each, the "Tool") offered by BetterReviews Daniel Studziński, a sole proprietorship (jednoosobowa działalność gospodarcza) registered in Poland ("BetterReviews", "we", "us", "our"), with a registered address at al. Solidarności 68/121, 00-240 Warsaw, Poland. By ticking the acceptance checkbox, clicking to run the Tool, or otherwise using the Tool, you agree to these Terms. If you do not agree, do not use the Tool.
1. The Tool
The Tool generates sample marketing assets and customer insights (such as ad creatives, email copy, and customer personas) from product-review content that you either (a) upload as a file ("CSV Input") or (b) direct us to read from a publicly accessible store page by submitting a URL ("URL Input"). The Tool is provided free of charge as a demonstration of the BetterReviews product. Results are generated automatically using artificial intelligence and are provided for your evaluation only. The URL Input (scrape) path for customer personas is available in all regions; its output is an aggregate, non-attributable summary that does not reproduce verbatim reviewer text or names. The URL Input (scrape) path for ad creatives is not available to users located in the European Economic Area, the United Kingdom, or Switzerland; from those locations the CSV Input path is offered for ad creatives. This does not limit any consumer-protection rights you have under Section 12.
2. Eligibility and accounts
The Tool is intended for use by businesses and the individuals operating them, not by consumers for personal, family, or household purposes. You must be at least 18 years old and able to form a binding contract. No account is required to use the Tool. If you use the Tool as a consumer, or as a natural person whose use is not of a professional character for you within the meaning of art. 385⁵ of the Polish Civil Code, you keep all mandatory protections the law gives you; the disclaimers, liability cap, and indemnity in these Terms apply to you only to the extent that mandatory law permits.
3. Your content and rights warranty
"Your Content" means any CSV Input you upload and any URL Input you submit. You represent and warrant that: (a) you have all rights, licenses, consents, and permissions necessary to provide Your Content to us and to have us process it to generate results; (b) for CSV Input, you are the owner or authorized controller of the data in the file, or you otherwise have the right to use and process it for this purpose; (c) for URL Input, the page you submit is publicly accessible without authentication, payment, or circumvention of any access control, you are submitting it in the course of your own business and on your own initiative, and to the best of your knowledge after reasonable consideration your request that we read and process the review content publicly displayed on that page does not infringe, misappropriate, or violate any third party's rights or any law; (d) Your Content and your use of the Tool do not and will not infringe, misappropriate, or violate any third party's intellectual-property, privacy, publicity, contractual, or other rights, or any law; and (e) you will not use the results to harass, defame, or unlawfully target any person or business.
You retain ownership of Your Content. You grant us a limited, non-exclusive, worldwide, royalty-free license to host, process, transmit to our service providers, and use Your Content solely to operate the Tool, generate and deliver your results, and improve the security and reliability of the Tool. We do not use Your Content to train, fine-tune, or develop any machine-learning or artificial-intelligence model. We do not sell Your Content.
4. Acceptable use
You agree not to, and not to attempt to: (a) use the Tool in violation of any applicable law or third-party right; (b) submit data you do not have the right to process; (c) upload malware, or content that is unlawful, infringing, defamatory, or that contains another person's sensitive personal data without a lawful basis; (d) use the Tool to scrape, harvest, or compile data about any person or business for resale, surveillance, or unlawful profiling; (e) probe, scan, overload, or attempt to gain unauthorized access to the Tool or our systems, or bypass any rate limit, bot check, or access control; (f) use the Tool to compete with, reverse engineer, or build a substitute for BetterReviews; or (g) use automated means to submit inputs at volume. We may rate-limit, suspend, or block access at our discretion to protect the Tool, our systems, third parties, and other users.
5. Results; no reliance
Results are AI-generated samples and may be inaccurate, incomplete, non-original, or unsuitable. Results may quote or paraphrase third-party review content; you are solely responsible for determining whether you have the right to use any result and for how you use it. You must independently review and clear results before any commercial use. Results are made available ephemerally and may be deleted automatically after a short period; we have no obligation to store or restore them.
6. Disclaimer of warranties
THE TOOL AND ALL RESULTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS, AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BETTERREVIEWS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. BETTERREVIEWS DOES NOT WARRANT THAT THE TOOL WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY RESULT WILL BE ACCURATE, ORIGINAL, NON-INFRINGING, OR FIT FOR ANY PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BETTERREVIEWS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THE TOOL OR THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BETTERREVIEWS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE TOOL OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US TO USE THE TOOL (WHICH IS ZERO), OR (B) ONE HUNDRED U.S. DOLLARS (US$100). BECAUSE THE TOOL IS PROVIDED FREE OF CHARGE, THIS ALLOCATION OF RISK IS A FUNDAMENTAL BASIS OF THE BARGAIN. NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW — INCLUDING LIABILITY FOR DAMAGE CAUSED INTENTIONALLY (WITHIN THE MEANING OF ART. 473 § 2 OF THE POLISH CIVIL CODE), FOR FRAUD, FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, AND FOR ANY NON-EXCLUDABLE STATUTORY RIGHTS YOU HAVE AS A CONSUMER. IF YOU USE THE TOOL AS A CONSUMER OR AS A NATURAL PERSON WITH CONSUMER-LIKE PROTECTION UNDER ART. 385⁵ OF THE POLISH CIVIL CODE, THE LIMITATIONS AND THE LIABILITY CAP IN THIS SECTION APPLY ONLY TO THE EXTENT PERMITTED BY THE MANDATORY CONSUMER-PROTECTION LAW THAT APPLIES TO YOU, AND DO NOT REDUCE ANY RIGHTS YOU HAVE UNDER THAT LAW.
8. Indemnification
You will indemnify, defend, and hold harmless BetterReviews and its officers, directors, employees, and agents from and against any and all third-party claims, demands, suits, proceedings, and any resulting losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Your Content; (b) your breach of the rights warranty in Section 3 or of Section 4 (Acceptable Use); (c) your use of any result; or (d) your violation of any law or third-party right. We may assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us. Your obligations under this Section are not subject to the limitation of liability in Section 7. This Section does not apply to you to the extent you use the Tool as a consumer or as a natural person entitled to consumer-like protection under art. 385⁵ of the Polish Civil Code; in that case you are liable to us only as, and to the extent, mandatory law provides.
9. Privacy
Our handling of personal data in connection with the Tool is described in our Privacy Policy, which is incorporated into these Terms. If you submit URL Input, you acknowledge that we will read the publicly displayed review content on that page to generate results, and that you have confirmed you have the right to request this. If you submit a third party's personal data, you are responsible for having a lawful basis to do so.
10. Intellectual property
The Tool, and all software, text, and design (excluding Your Content), are owned by BetterReviews and protected by intellectual-property laws. We grant you no rights in the Tool other than the limited right to use it under these Terms.
11. Suspension and termination
We may modify, suspend, or discontinue the Tool, in whole or in part, at any time, with or without notice. We may terminate or restrict your access to the Tool at any time for any reason, including a suspected breach of these Terms. Sections 3, 5, 6, 7, 8, 10, 12, and 13 survive termination.
12. Governing law; dispute resolution
These Terms are governed by the laws of Poland, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Tool will be brought exclusively in the courts of Poland competent for the seat of BetterReviews, and you consent to the jurisdiction and venue of those courts.
The two preceding sentences apply only to the extent permitted by law. If you use the Tool as a consumer, nothing in these Terms deprives you of (a) the protection of the mandatory provisions of the law of your country of habitual residence that cannot be derogated from by agreement (Article 6 of Regulation (EC) No 593/2008, "Rome I"), or (b) your right under Articles 17 to 19 of Regulation (EU) No 1215/2012 ("Brussels Ia") to bring proceedings in, and to be sued only in, the courts of the country where you are domiciled. Where those rules apply, they prevail over the choice of law and forum above.
13. Changes; miscellaneous
We may update these Terms by posting a revised version with a new "Last updated" date; your continued use of the Tool after changes take effect constitutes acceptance. If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in effect. These Terms are the entire agreement between you and us regarding the Tool. Our failure to enforce any provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor.
